Holo User Agreement

1. What Holo is
Holo is an online marketplace. Holo is not the buyer or seller of anything listed, doesn't own or inspect items, and doesn't guarantee that any item is genuine, safe or as described. Sales are between the buyer and the seller. Holo does not offer refunds or a money-back guarantee; how Holo reviews scam reports and disputes is explained in section 7.
2. Your account
You must be at least 18 and able to enter a binding contract. You must give true information, verify your email (and your phone number when asked), and keep your password private. One person, one account, unless Holo allows otherwise. You are responsible for everything done with your account.
Keep your login safe. Turn on two-step verification in Account settings. Tell us right away through Help & contact if you think someone else used your account. Holo will never ask for your password.
3. Your responsibilities as a seller
• Only list items you own and have the right to sell, and describe them honestly, with real photos of the actual item, including any flaws, damage, alterations or reproductions.
• If you turn on free auto-relist, an auction that ends without a sale is relisted for the same length, up to 10 times, until you end it. Drafts you save are private until you list them.
• Ship within your stated handling time, to the address on the order, with tracking, packed so the item arrives safely.
• Honor your listing: if someone wins your auction or buys your item, you must complete the sale.
• You are responsible for any taxes on your sales and for following all laws that apply to what you sell.
4. Your responsibilities as a buyer
• When you win an auction, buy an item or your offer is accepted, you are committing to pay.
• You must have a payment method on file before you can bid. If you win an auction and don't pay within 48 hours, the sale is canceled, you get a strike, and you agree that Holo may charge your card on file an Unpaid item fee of 5% of the winning bid (at least $2, at most $50). Three strikes can lead to bidding limits or account closure.
• Pay only through Holo checkout. Never pay outside Holo; Holo can't review or help with deals made off the app.
• Keep your ship-to address current, and report problems through Holo within the time limits in section 7.
5. What's not allowed
• Counterfeit, fake or replica items sold as genuine; stolen goods; anything illegal to sell where you or the buyer are.
• Scams of any kind: taking payment and not shipping, shipping something different, fake tracking, fake payment messages, shill bidding (bidding on your own items), or asking people to pay outside Holo.
• Harassment, threats, hate, spam, or sharing anyone's personal information.
• Manipulating reviews, prices or search, or using more than one account to get around limits or a suspension. To stop banned members from coming back, Holo records the IP address and a device identifier when you sign in. A new account linked to a banned member's IP address or device may be suspended automatically. If you think that happened by mistake (for example on shared Wi-Fi), send a ticket and a person will review it.
• Items that are illegal or restricted, including weapons, ammunition and their parts, explosives, drugs and drug paraphernalia, prescription medicines, alcohol and tobacco, live animals, human remains, hazardous materials, recalled products, stolen property, counterfeit currency or stamps, government IDs and documents, and anything that infringes someone else's trademark, copyright or other rights.
• Using bots, scrapers or automated tools on Holo; copying, reverse engineering or reselling any part of the app; trying to get around security, fees, limits or bans; or attacking, overloading or probing Holo's systems.
6. If you break these rules
Holo may remove listings, cancel orders, limit or hold payouts, suspend or permanently close accounts, and refuse service in the future. If you take money and don't deliver, misrepresent an item, or commit fraud, you are personally responsible for it: you agree to repay any money Holo refunds to a buyer because of your actions, and Holo may recover it from your Holo balance, future payouts or your payout account, and may report you to law enforcement and cooperate with any investigation. Fraud can also be a crime.
7. Problems, scam reports and Holo's decisions
Holo does not offer refunds or a money-back guarantee. Buyers and sellers are expected to work out problems with each other, in Holo Messages.
If you believe you've been scammed, report it from the order or from Studio → Disputes. Holo reviews everything saved about the sale: the listing and its photos, payment and order details, tracking history, the messages between the buyer and seller, and anything either of you sends. Holo may chat with both of you. An automated assistant may read the report first, but a person on the Holo team makes the decision.
Holo has the final say. If Holo decides the buyer's report isn't supported, the sale stands and the buyer is responsible for the outcome. If Holo decides the seller is at fault, the seller must refund the buyer in full through Holo within 3 days; a seller who doesn't will have their account closed, Holo may recover the money from their balance or payouts, and the matter may be reported to law enforcement.
In some cases Holo may issue the refund itself. When Holo does, the account of the person found at fault is permanently closed, and new accounts linked to their IP addresses or devices are blocked. You agree to repay Holo any amount Holo refunds because of your actions (section 6).
Holo's decision is final on Holo, including for refunds, payouts, fees and reviews. It doesn't take away any rights you have under the law, or with your card issuer or bank. False reports break this agreement.
8. Fees, payments and payouts
Listing is free. When an item sells, the seller pays a Marketplace service fee (currently 11% of the item price plus shipping, or 9% with Holo Pro) that covers listing, search placement, the Value Finder, messaging, labels, support and scam review; a Secure payment processing charge (currently 2.9% + 30¢ of the order total) for card security, fraud screening and payouts; and any promotion they chose. Vehicles have a flat Vehicle marketplace fee instead (currently $75). Promotion comes in two kinds: Boost is a percentage of the total sale and is charged only if the item sells; Spotlight is charged per click on your listing, up to the daily budget you set, whether or not the item sells. These fees are deducted before your payout; the Sell page shows about how much you'll get, and each sale receipt shows what you earned. Buyers outside the US pay International shipping & handling (calculated shipping plus 2% for customs paperwork and cross-border processing), shown before they pay. Winning bidders who don't pay may be charged an Unpaid item fee (section 4). Standard accounts can list up to 750 items and sell up to $35,000 a month; Pro accounts up to 1,500 items and $75,000 (vehicles don't count toward the dollar limit). Payments are processed by Stripe; your card or bank details go to Stripe, not Holo. Sellers are paid to the bank account or debit card they choose, on the schedule they choose: standard transfers take 2–3 business days, and Holo Pro members can also take instant payouts. Holo may hold a payout while an order is in dispute or if we suspect fraud. Fees may change; we'll tell you before they do.
Third-party services: payments and payouts are handled by Stripe, shipping labels by our shipping partner, Pro subscriptions by Apple or Google, and text and email delivery by our messaging partners. Their own terms also apply to those services, and Holo isn't responsible for their outages or mistakes.
Taxes: sellers are responsible for reporting their income. Where the law requires, Holo or Stripe collects sales tax from buyers and sends tax forms (such as Form 1099-K) to sellers.
9. Holo Pro
Holo Pro is a paid subscription bought through the App Store or Google Play. It renews automatically until you cancel in your store account at least 24 hours before it renews. Refunds for Pro are handled by Apple or Google under their rules. Pro benefits may change; we'll tell you before they do. If your account is suspended or closed for breaking these rules, you lose Pro benefits without a refund from Holo.
10. Reviews
Buyers and sellers can review each other after a sale. Reviews are public, can be read by anyone, and can't be deleted or edited by the person reviewed or the reviewer. Reviews must be honest and about the sale. Holo may remove reviews that break the law or these rules (for example threats or personal information).
11. Messages, alerts and contacting you
By using Holo you agree that we can contact you by in-app alerts, push notifications, email and text message about your account, orders, bids, security and support. You can turn off marketing messages and push notifications in Account settings; account and security messages can't be turned off while you have an account. Standard message and data rates may apply. Holo may review messages between members to keep people safe and to decide disputes, as described in the Privacy Notice.
12. Your content and Holo's property
You own the photos, descriptions and other content you post. By posting it, you give Holo a worldwide, royalty-free license to host, show, copy, resize and use it to run and promote Holo (for example, showing your listing in search, the Value Finder and ads for Holo). This license ends when you delete the content, except for copies already shared, sale records Holo must keep, and price history, which stays.
Only post content you have the right to use. Don't post photos taken from someone else's listing or website.
Holo, the Holo name and logo, the app's design, features, text, graphics, Value Finder, data and software belong to Holo and are protected by copyright, trademark and other laws. You may not copy, imitate, scrape, sell or use any of them (including the Holo name or anything confusingly similar) without our written permission.
If you send us ideas or feedback, we can use them freely without paying you or giving you credit.
13. Copyright and trademark complaints
If you believe a listing or content on Holo infringes your copyright or trademark, send a notice through Help & contact (topic: Report a member) with your contact details, the work or mark, where it appears on Holo, and a statement that you believe in good faith it isn't authorized, signed under penalty of perjury. We remove infringing content and close the accounts of repeat infringers. If your content was removed by mistake, you may send a counter-notice the same way.
14. No guarantees
Holo is provided as is and as available. To the fullest extent the law allows, Holo makes no promises that the app will always be available, error-free or secure, that listings are accurate, or that any item is genuine. Prices in the Value Finder, values in Portfolio and answers from the Holo Expert or Holo Support are estimates and general information, not appraisals or professional advice.
15. Limits of Holo's responsibility
Holo provides the app as is. To the fullest extent the law allows, Holo is not responsible for the acts of buyers or sellers, for the quality, safety or legality of items, or for indirect or consequential losses. If Holo is found responsible for something, its total responsibility is limited to the fees you paid Holo in the 12 months before the claim, except where the law doesn't allow this limit.
16. You protect Holo
If someone makes a claim against Holo because of something you did (for example, an item you sold, a scam you committed, or breaking these rules or the law), you agree to cover Holo's costs and losses from that claim, including reasonable legal fees.
17. Closing or suspending accounts
You can close your account anytime in Account settings. Holo may suspend, limit or close any account, remove any content, or stop offering any part of Holo at any time, including when we believe it's needed to protect members, Holo or the law. Sections about fees you owe, money you must repay, reviews, Holo's property, disputes and limits of responsibility still apply after an account is closed.
18. Settling disagreements with Holo
Most problems can be fixed quickly. Before starting any legal claim against Holo, contact us through Help & contact and give us 30 days to try to resolve it.
If we can't, you and Holo agree to resolve the dispute by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, instead of in court, except that either side may bring an individual claim in small claims court. You and Holo each give up the right to a jury trial and to bring or join a class action or any representative proceeding. You may opt out of arbitration by telling us through Help & contact within 30 days of first accepting this agreement.
Any claim must be brought within one year after it arose, unless the law requires a longer time.
This agreement is governed by the laws of the Commonwealth of Pennsylvania and United States federal law, without regard to conflict-of-law rules. Any court case allowed under this section will be brought in the state or federal courts in Pennsylvania.
19. Everything else
This agreement, together with the Privacy Notice and any rules shown in the app, is the whole agreement between you and Holo. If any part is found unenforceable, the rest still applies. If Holo doesn't enforce a part right away, it can still enforce it later. You can't transfer this agreement; Holo may transfer it as part of a sale or reorganization of the business. Holo isn't responsible for delays or failures caused by events outside its reasonable control, such as outages of our partners, natural disasters or changes in law.
20. Changes and contact
Holo may update this agreement. If the changes are important, we'll tell you in the app and you'll be asked to accept them before you continue. Questions? Send a ticket from Help & contact.
